Amendment Procedure
The procedure for proposing, reviewing, approving, and implementing amendments to the Institute Charter and governance policies.
Proposal Submission
Any amendment to the Institute Charter or governance policies may be proposed by the Institute's leadership, affiliated researchers, or Panorama Scholarly Group. Proposals must be submitted in writing, setting out the proposed amendment and the reasons for it.
Review Period
Proposed amendments are subject to a review period of not less than 30 days, during which they are circulated to all Research Center Directors and the Advisory Board for comment. Other relevant stakeholders may also submit comments or objections. Comments are considered before the decision on adoption but are not binding.
Approval
Amendments to the Institute Charter are made by the Institute Director with the approval of Panorama Scholarly Group. Subsidiary governance documents, including these governance rules and policies, may be adopted, amended, or replaced by the Institute Director without a formal Charter amendment, provided they do not conflict with the Charter. Approval must be documented in writing.
Implementation
Approved amendments take effect on the date of adoption unless a later effective date is specified in the approval document. The Charter's version number and effective date are stated on its cover.
Publication
Approved amendments are published on the Institute's website as soon as practicable following approval. The Institute Office maintains the complete version history of the Charter and governance documents, publishes each adopted version on the Institute's website, and keeps every superseded version, unaltered, publicly available.
Interpretation
The Institute Director has final interpretive authority over the Charter and governance documents. Where ambiguity arises, the interpretation most consistent with the Institute's mission is preferred, and in the event of a conflict the Charter prevails over any subsidiary governance document. Interpretations are documented and published where appropriate.
